Risk Disclaimer
Last updated: [Date]
This Risk Disclaimer applies to your access to and use of [Website Name], available at [Website URL], and to any NFT, digital collectible, artwork, collection, mint, purchase, wallet connection, blockchain transaction, profile feature, or related service made available through the Website.
The Website and Services are operated by [Company Legal Name], a company registered in Saint Vincent and the Grenadines (“Company”, “we”, “us”, or “our”).
Please read this Risk Disclaimer carefully before purchasing, minting, receiving, holding, transferring, displaying, or otherwise interacting with any NFT or digital collectible through the Website.
1. Digital collectibles only
History Stamps NFTs are digital collectibles and works of digital art inspired by historical events, themes, periods, places, and cultural moments.
They are not financial products, investment products, securities, payment instruments, deposits, e-money, stored value products, derivatives, collective investment schemes, or any other regulated financial instrument.
You should purchase or collect an NFT only because you want to own a digital collectible associated with a historical theme, artwork, or collection experience, and not because you expect profit, resale, price appreciation, liquidity, marketplace availability, yield, rewards, passive income, or any financial return.
2. What we do not provide
History Stamps is not an exchange, broker, dealer, investment adviser, financial institution, payment institution, custodian, wallet provider, wallet operator, secondary marketplace, tax adviser, legal adviser, or dispute resolution service.
We do not provide custody services, hold private keys, store seed phrases, control user wallets, sign transactions on behalf of users, or recover access to external blockchain wallets.
Any blockchain transaction is performed through the relevant blockchain network and a compatible third-party wallet or wallet connection tool. Your use of a wallet is governed by the terms, privacy policy, and security practices of the relevant wallet provider.
3. No investment advice
Nothing on the Website is financial, investment, legal, tax, accounting, trading, or professional advice.
Any information about NFTs, rarity, collections, editions, supply, pricing, historical significance, artwork, themes, timelines, collector profiles, or availability is provided for general informational, artistic, curatorial, and collectible purposes only.
You are solely responsible for deciding whether to purchase, mint, hold, transfer, or otherwise interact with any NFT.
4. No resale, liquidity, or marketplace guarantee
We do not promise, represent, or guarantee that any NFT will:
- increase in value;
- retain value;
- have resale value;
- be liquid;
- be tradeable;
- be listed, supported, visible, or accepted on any marketplace;
- have buyer demand;
- generate profit, yield, revenue, rewards, or passive income;
- be exchangeable for fiat currency, cryptocurrency, goods, services, or any other asset.
Any technical ability to transfer, display, list, or sell an NFT may depend on the relevant blockchain network, wallet, smart contract, third-party marketplace, indexer, gateway, or other infrastructure outside our control.
We do not operate or guarantee any secondary marketplace unless expressly stated in separate official terms.
5. No ownership in the Company, project, revenue, or intellectual property
Purchasing, minting, receiving, or holding an NFT does not give you any ownership interest, equity, debt claim, profit share, revenue share, governance right, voting right, treasury right, dividend right, royalty right, or other financial or corporate right in the Company, the Website, the History Stamps project, any collection, or any future product or service.
NFTs are not fractional ownership interests, investment vehicles, governance tokens, revenue-sharing instruments, profit-sharing instruments, debt instruments, equity interests, or claims against the Company.
Purchasing or holding an NFT also does not transfer copyright, trademark rights, brand rights, personality rights, publicity rights, likeness rights, or commercial intellectual property rights, except as expressly stated in the applicable NFT License.
6. Blockchain transaction risks
NFT transactions may take place on one or more blockchain networks supported by the Company and displayed at checkout.
Blockchain transactions may be irreversible once confirmed. You are responsible for checking all transaction details before approving a transaction, including:
- the NFT you are purchasing;
- the connected wallet;
- the selected blockchain network;
- the purchase price;
- gas or network fees;
- the total transaction amount;
- the recipient address, where applicable;
- any wallet approval, signature request, or transaction prompt.
We are not responsible for losses caused by user error, wrong wallet selection, wrong network selection, incorrect address, incorrect transaction approval, unsupported wallets, insufficient funds, rejected transactions, delayed transactions, failed transactions, or interactions with unofficial websites, fake support accounts, malicious links, or phishing attempts.
7. Wallet responsibility and third-party wallets
You are responsible for the security and control of your wallet, private keys, recovery phrase, seed phrase, passwords, devices, browser extensions, wallet approvals, and wallet permissions.
We do not control your personal wallet and cannot recover access to a wallet, private key, seed phrase, recovery phrase, NFT, cryptocurrency, or blockchain asset if you lose access.
Never share your seed phrase, private key, wallet password, or recovery information with anyone. Our team will never ask for your seed phrase or private key.
Third-party wallet providers, blockchain infrastructure providers, and related services are independent third parties that we do not own or control. We are not responsible for their availability, security, transaction prompts, user interfaces, fees, policies, errors, failures, delays, security incidents, or other acts or omissions.
If you connect your wallet to a fake website, approve a malicious transaction, grant unsafe wallet permissions, share your recovery phrase, or lose access to your wallet, your NFT or other digital assets may be permanently lost.
8. Gas and network fees
Gas fees, network fees, validator fees, priority fees, or similar blockchain transaction costs may apply.
These fees are charged by the relevant blockchain network, validators, node operators, or infrastructure providers and are not paid to us. They may change quickly depending on network conditions and may be higher than expected.
Gas and network fees are generally non-refundable, including where a transaction fails, is rejected, is delayed, remains pending, is cancelled, or cannot be completed due to network conditions, insufficient funds, wallet issues, user error, or use of an unsupported wallet or network.
Network fees may be charged even if a transaction fails or is not completed.
9. Smart contract and network risks
NFTs may rely on smart contracts, blockchain protocols, wallets, APIs, nodes, explorers, indexers, storage systems, gateways, and other technical infrastructure.
These systems may experience bugs, vulnerabilities, outages, congestion, attacks, downtime, indexing delays, display errors, failed transactions, delayed confirmations, incorrect balances, or other technical problems.
We do not guarantee that any blockchain network, wallet, smart contract, explorer, gateway, marketplace, indexer, node, storage system, or third-party service will operate continuously, securely, accurately, or without error.
10. Cybersecurity Risks
The Services, blockchain networks, wallets, devices, browsers and third-party infrastructure may become the target of cybersecurity incidents, malware, phishing, ransomware, spyware, malicious browser extensions, SIM-swapping, social engineering, denial-of-service attacks or other malicious activities.
Such events may result in unauthorized access, delays, loss of access to NFTs or digital assets, interruption of the Services or other adverse consequences beyond the Company's reasonable control.
11. Forks, network upgrades, and blockchain changes
Blockchain networks may undergo forks, upgrades, protocol changes, chain reorganizations, outages, congestion, validator issues, attacks, or other technical changes.
Such events may affect the availability, display, transferability, ownership history, metadata, marketplace support, or other functionality of an NFT.
If a fork, network change, or other blockchain event results in multiple versions of a blockchain record, smart contract, token, token URI, or metadata, we may determine, in our reasonable discretion, which network, record, token URI, metadata, or version of the NFT is supported on the Website.
We are not required to support all forks, chain versions, duplicated tokens, mirrored assets, or alternative versions of an NFT.
12. Metadata and artwork availability
NFT metadata and media may be stored off-chain using IPFS, Arweave, or similar decentralized, distributed, or off-chain storage infrastructure.
The blockchain record may contain a token ID and a token URI that points to metadata, while the artwork, name, description, attributes, and related media may be stored outside the blockchain.
We use reasonable measures to support the availability and integrity of NFT metadata and media. However, the display, retrieval, indexing, or availability of NFT artwork and metadata may depend on third-party wallets, marketplaces, gateways, storage providers, indexers, nodes, explorers, and other infrastructure outside our direct control.
We do not guarantee uninterrupted, permanent, error-free, or universal availability of NFT images, metadata, previews, descriptions, attributes, or display features across all third-party services.
Different wallets, marketplaces, explorers, indexers, or gateways may display NFT images, metadata, names, descriptions, attributes, collection data, or ownership information differently or with delays.
13. Historical and artistic interpretation
History Stamps NFTs may refer to historical events, places, periods, themes, public information, cultural moments, or educational context.
Artwork may be AI-assisted, design-edited, stylized, symbolic, fictionalized, or transformative. Unless expressly stated otherwise, artwork is not a documentary photograph, official record, government-issued stamp, archive document, endorsed publication, or reproduction of any specific photograph, video frame, poster, logo, official seal, protected artwork, or third-party work.
References to historical events, institutions, places, persons, brands, or public facts are provided for artistic, educational, contextual, or descriptive purposes only and do not imply affiliation, sponsorship, approval, endorsement, partnership, authorization, or official status.
14. No affiliation or endorsement
Unless expressly stated in writing by us, History Stamps is independent and is not affiliated with, endorsed by, approved by, sponsored by, or officially connected to any government, postal service, public authority, institution, brand, marketplace, wallet provider, historical archive, person, estate, foundation, rights holder, or third-party organization.
You must not represent that your ownership of an NFT gives you any affiliation, endorsement, approval, license, authority, or official status from us or any third party.
15. Intellectual property limitations
Purchasing, minting, receiving, or holding an NFT does not automatically give you copyright, trademark rights, brand rights, personality rights, likeness rights, publicity rights, commercial IP rights, or ownership of the underlying artwork or content.
Unless the applicable NFT License expressly states otherwise, your rights are limited to owning or controlling the token and displaying the associated artwork for personal, non-commercial purposes.
You may not use an NFT or related artwork in a way that suggests official status, endorsement, sponsorship, commercial authorization, or affiliation with us or any third party.
You may not use the History Stamps name, logo, trade dress, website design, collection names, badges, marks, branding, or other brand assets unless expressly permitted by us in writing.
16. Rarity and collectible classifications
Rarity, edition status, collector labels, historical significance, visual categories, collection tags, supply information, or similar classifications are curatorial and collectible features.
They are not financial ratings, investment ratings, valuation guidance, or predictions of price, liquidity, resale demand, or future market performance.
An NFT described as rare, limited, exclusive, legendary, historically significant, or otherwise notable may still have no resale value, no buyer demand, and no marketplace support.
17. Pricing risks
NFT prices may be determined by collection rules, mint mechanics, availability, network, timing, pricing models, or other factors shown at checkout.
Any displayed price applies only at the time and context shown and may change before a transaction is completed.
We do not guarantee that a current price, previous price, future price, discount, collector status, collector label, rarity status, or pricing model reflects market value, resale value, fair value, investment value, or future demand.
18. Official sources, fake collections, and authenticity risks
You should use only the official Website, official links, official smart contracts, and official communication channels provided by History Stamps.
We do not guarantee the authenticity, legality, safety, or support of any NFT, collection, link, smart contract, marketplace listing, screenshot, offer, support message, or other material made available outside our official channels.
Fake websites, copycat collections, unofficial smart contracts, phishing links, fake support accounts, fraudulent marketplace listings, impersonation attempts, and malicious wallet prompts may result in the loss of NFTs, cryptocurrency, wallet access, or other digital assets.
We may refuse to display, support, recognize, or provide services in relation to an NFT if we reasonably believe that the NFT, transaction, wallet, listing, or related activity is connected to fraud, sanctions risk, illegal activity, stolen asset claims, intellectual property complaints, breach of our terms, or other prohibited conduct.
19. Regulatory, sanctions, and tax risks
NFTs, blockchain transactions, digital collectibles, wallets, and related technologies may be subject to changing laws, regulations, tax rules, reporting obligations, restrictions, sanctions, platform rules, or enforcement approaches in different jurisdictions.
You are responsible for understanding and complying with the laws, regulations, tax obligations, and restrictions that apply to you in your country or region.
You must not use the Website if you are prohibited from doing so under applicable law, sanctions, export controls, or other legal restrictions.
You must not use the Website on behalf of, for the benefit of, or in connection with any person, entity, wallet, jurisdiction, or transaction that is subject to sanctions or other legal restrictions.
We may restrict access, refuse transactions, cancel purchases where permitted, suspend features, request additional information, or take other steps if required by law, sanctions, compliance controls, fraud prevention, security requirements, technical restrictions, or third-party provider requirements.
20. Third-party services
The Website may interact with third-party services, including wallet providers, blockchain networks, node providers, explorers, analytics providers, infrastructure providers, hosting providers, storage systems, communication tools, and other services.
We do not control third-party services and are not responsible for their availability, security, accuracy, fees, policies, decisions, errors, delays, outages, or actions.
Your use of third-party services may be subject to separate terms, privacy policies, fees, and risks.
21. Content visibility, removal, and availability
We do not guarantee that the Website, any NFT, collection, profile feature, mint function, wallet connection, metadata, artwork, transaction page, or related service will be available at all times or in all locations.
Access may be interrupted, delayed, restricted, suspended, modified, hidden, removed, or discontinued due to maintenance, security, legal, regulatory, technical, business, blockchain, provider, or force majeure reasons.
We may hide, remove, restrict, disable, modify, delist, or stop displaying any NFT page, image, metadata, description, collection page, profile feature, or related content if we reasonably believe that doing so is necessary or appropriate for legal, compliance, intellectual property, safety, security, policy, technical, or business reasons.
Such action does not necessarily affect the existence of a blockchain record, but it may affect how content is displayed or supported on the Website.
22. User responsibility
You are responsible for:
- reading the Terms of Service, NFT License, Privacy Policy, Cookie Policy, Refund Policy, and this Risk Disclaimer;
- checking transaction details before approval;
- using the correct wallet and network;
- keeping wallet credentials secure;
- complying with applicable laws;
- avoiding phishing, fake websites, fake support accounts, and scams;
- verifying official sources and official contract information;
